Echo AI – Terms and Conditions

Welcome to Echo AI ("we", "our" or "the Service"). By creating an account, uploading content or using any part of our platform, you agree to the following Terms and Conditions ("Terms"). Please read them carefully. If you do not agree, do not use the Service.

1. Definitions

• User ("you") refers to any person who accesses or uses the Service.
• User Content means any recording, audio file, voice data, texts or other materials you upload to the Service.
• Voice Clone refers to any synthetic or AI-generated voice created by the Service using your User Content.
• Service Materials include all software, interfaces, APIs, code, AI models and any other intellectual property owned or managed by Echo AI.

2. Eligibility and Account Registration

• You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
• You agree to provide accurate and complete information during registration and keep your credentials secure.
• You are solely responsible for all activity that occurs under your account.

3. Permitted Use

• You may use the Service only for legal purposes and in accordance with these Terms.
• Echo AI is designed to recreate and preserve the voices of deceased persons for personal remembrance and emotional connection purposes.
• By uploading any User Content, you confirm that:
  • You have a legitimate personal or family relationship with the deceased person whose voice is being replicated.
  • You have the moral and/or legal right to use, store and process their audio data for commemorative or communicative purposes.
• You must not use the Service to:
  • Clone or imitate the voice of a living person without their explicit consent.
  • Defame, harass, deceive, impersonate or engage in any fraudulent or illegal activity.
  • Sell, sublicense or commercially exploit the Service or any Voice Clone without written authorization.

4. Rights to User Content

• You retain ownership of your User Content.
• By uploading it, you grant Echo AI a non-exclusive, worldwide, royalty-free and sublicensable license to use, reproduce, process and adapt such content solely for the purpose of providing the Service (e.g., generating your Voice Clone).
• We reserve the right to remove any content that violates these Terms or applicable laws.

5. User Responsibilities and Indemnification

• You are fully responsible for your use of your User Content and generated Voice Clones.
• You agree to comply with all laws relating to privacy, intellectual property, posthumous rights and moral rights.
• You agree to indemnify and hold harmless Echo AI, its affiliates and employees from any claim, damage or expense arising from misuse of the Service or breach of these Terms.

6. Fees and Payments

• If you subscribe to a paid plan, you agree to pay all applicable fees according to current prices.
• Subscriptions may automatically renew unless you cancel in advance.
• Refunds will only be granted when required by law or when Echo AI expressly indicates.

7. Warranty Disclaimer and Limitation of Liability

• The Service is provided "as is" and "as available."
• We do not guarantee uninterrupted access, error-free operation or that the Service will meet all your expectations.
• To the maximum extent permitted by law, Echo AI will not be liable for:
  • Indirect, incidental or consequential damages (including loss of data, revenue or opportunities).
  • Unauthorized or improper use of the Service by third parties.
• Our total liability to you will not exceed the amount you have paid for the Service during the last ___ months.

8. Termination

• We may suspend or terminate your access to the Service at any time for violation of these Terms or for legal or operational reasons.
• Upon termination of your account, your right to use the Service will cease immediately, but obligations related to confidentiality, indemnification and liability will remain in effect.

9. Changes to Terms

• Continued use of the Service after changes implies your acceptance of the updated Terms.
• If you do not agree with the changes, you must stop using the Service.

• You must ensure that any uploaded content does not infringe the privacy, dignity or moral rights of the deceased person or their family.

11. Applicable Law and Jurisdiction

• These Terms will be governed and interpreted in accordance with the laws of the United States.
• Any dispute will be submitted to the competent courts of the United States, unless the law provides otherwise.

12. General Provisions

• If any provision of these Terms is deemed invalid, the others will remain in full force.
• Failure to exercise any right does not constitute a waiver of it.
• You may not transfer or assign your rights or obligations under these Terms without our prior written consent.
